Here is how to get an AZ LLC

An AZ LLC is a partnership that forms into a seperate legal entity through a legal agreement. This agtreement stipulates the terms, practices, rules and bylaws of the LLC, as well as the initial founding officers and their primary stake in the partnership. 29-308. Certificate of limited partnership

A. In order to form a limited partnership a certificate of limited partnership shall be executed and filed in the office of the secretary of state. The certificate shall set forth all of the following:

1. The name of the limited partnership.

2. The address of the office and the name and address of the agent for service of process required to be maintained by section 29-304.

3. The name and the business address of each general partner.

4. The latest date, if any, on which the limited partnership must dissolve.

5. Any other matters the general partners determine to include therein.

B. A limited partnership is formed at the time of the filing of the certificate of limited partnership in the office of the secretary of state or at any later time specified in the certificate of limited partnership if, in either case, there has been substantial compliance with the requirements of this section. A limited partnership continues perpetually unless it is otherwise provided in the partnership's certificate of limited partnership or partnership agreement or the limited partnership is dissolved pursuant to this chapter.

C. A limited partnership may file a combined certificate of limited partnership and a limited liability partnership statement of qualification if the combined filing indicates in its heading or introductory paragraph that it contains both a certificate of limited partnership and a limited liability partnership statement of qualification.

You need A Business License, A DBA and A Seller's Permit. **************** All businesses are required to obtain a business license, so you need:

1. A Business License.

2. You are not using your last name in your business name so you will need to file a DBA business name certificates, and

3. Since you are selling taxable items, you need a Seller's Permit. NOTE: You don’t need a seller’s permit if your business is located in Alaska, Oregon or New Hampshire - In these states, you can use a federal tax id number instead of a resellers / seller’s permit number. However, if your business is located in any of these states (Michigan, Georgia, New York, Maryland and Nevada, you will need to obtain a Federal Tax Id, in addition to a Sellers Permit. It’s recommended that instead of a DBA certificate, you may want to incorporate of form an LLC to protect your personal assets from transactions arising out of business transactions. By forming an LLC you move the civil, financial, and tax liability for the actions of the business from you, the owner, to the LLC, which is treated by the law as a seperate legal entity. Your interest in the LLC is the ownership stake you retain in the LLC, and any certificates or other share like documents the LLC issues.

However, to function in this manner, the LLC must have the full trapppings of a seperate entity. First it needs a Federal ID number to serve as its social security number. Without it, it can't file it's tax returns or do contract work, and will swiftly fall apart.

Next it needs it's sellers permit, so that it can charge sales tax on any taxable goods it sells, as well as purchasing tax free from wholesalers, so as to take advantage of its new identity. Failure to do this can carry heavy fines.

Finally the LLC must secure a business license with the local government wherever it chooses to operate. Not only does this ensure that it will be kept current on all local taxes and inspection, it also ensures that the LLC can take advantage of any local incentives for entities of its type.
